These Terms and Conditions ("Terms") govern your access to and use of the products, platforms, and services provided by AI Quiver Vision LLP, operating as Qverlabs ("we", "us", "our"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you must not use our services.

1. Services

Qverlabs provides AI-powered software solutions, including but not limited to:

• Agentic AI platforms and intelligent automation tools
• DPDPA compliance and data protection solutions
• AI consultation agents (e.g. Vani AI for Staarvani)
• Computer vision and sports analytics technology
• AI-powered POS and restaurant management systems (Dhaba.ai)
• Custom AI development and integration services

Services may be accessed through our website, APIs, mobile applications, or third-party platforms as applicable.

2. Account and Access

Some services require you to create an account. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the confidentiality of your account credentials
• All activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are used for unauthorised purposes.

3. Acceptable Use

You agree not to use our services to:

• Violate any applicable law, regulation, or third-party rights
• Submit false, misleading, or fraudulent information to AI agents
• Attempt to reverse-engineer, decompile, or extract source code from our AI models or software
• Use AI outputs to generate content that is harmful, discriminatory, defamatory, or illegal
• Circumvent security measures, rate limits, or access controls
• Resell, sublicence, or redistribute our services without written authorisation
• Introduce malware, viruses, or other harmful code into our systems

4. AI-Generated Outputs

Our services include AI-powered features that generate outputs based on your inputs and our underlying models. You acknowledge and agree that:

• No guarantee of accuracy — AI-generated outputs are provided "as is" and may contain errors, inaccuracies, or omissions. You should independently verify any AI output before relying on it for critical decisions
• Not professional advice — AI outputs do not constitute legal, financial, medical, or other professional advice. Consult qualified professionals for decisions in these domains
• Variability — AI responses may vary for the same or similar inputs due to the probabilistic nature of AI models
• Continuous improvement — AI models are updated periodically, which may change the nature of outputs over time

5. Intellectual Property

5.1 Our IP

All intellectual property in our services, including software, AI models, algorithms, designs, trademarks, and content, is owned by or licenced to Qverlabs. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without written permission.

5.2 Your Content

You retain ownership of any content you submit to our services. By submitting content, you grant us a limited, non-exclusive licence to process, store, and use it solely for the purpose of delivering and improving our services.

5.3 AI Outputs

Subject to these Terms and applicable law, you may use AI-generated outputs for your own lawful purposes. However, you are solely responsible for how you use, publish, or distribute such outputs.

6. Fees and Payment

Certain services require payment. Pricing, billing cycles, and payment terms are set out on our website or in a separate service agreement. All fees are non-refundable unless otherwise stated. We reserve the right to modify pricing with reasonable notice.

7. Data Protection

Our collection and use of personal data is governed by our Privacy Policy. By using our services, you acknowledge that you have read and understood our data practices.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• Qverlabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services
• Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for any loss, damage, or harm resulting from reliance on AI-generated outputs
• We are not responsible for service interruptions caused by circumstances beyond our reasonable control, including third-party infrastructure failures

9. Indemnification

You agree to indemnify and hold harmless Qverlabs, its affiliates, officers, and employees from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your use or misuse of our services or AI outputs
• Your violation of any third-party rights
• Content you submit to our platforms

10. Service Availability

We aim to maintain high availability of our services but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of our services with reasonable notice. Scheduled maintenance windows will be communicated in advance where possible.

11. Third-Party Services

Our services may integrate with or link to third-party platforms, APIs, or services. We are not responsible for the content, functionality, or practices of third-party services. Your use of third-party services is governed by their respective terms and policies.

12. Termination

Either party may terminate the service relationship at any time. Upon termination:

• Your access to the services will cease
• We may retain data as required by law or legitimate business purposes
• Provisions that by their nature should survive termination (including IP, liability, and indemnification) will remain in effect

13. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in New Delhi, India. We encourage you to contact us first to resolve any concerns informally before pursuing formal proceedings.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via our website or email. Your continued use of our services after changes are published constitutes acceptance of the updated Terms.
